1. Acceptance of Terms

By accessing or using AlgoSurf ("the Service"), operated by AlgoSurf LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.

2. Description of Service

AlgoSurf is an automated algorithmic trading software platform. The Service executes trading strategies on your behalf through your connected brokerage account via Alpaca Markets OAuth integration. AlgoSurf is software, not a broker-dealer, investment adviser, or financial institution. We do not hold, custody, or manage your funds. Your capital remains in your own brokerage account at all times.

3. Brokerage Account Connection

To use the automated trading features, you must connect your Alpaca Markets brokerage account via OAuth. By connecting your account, you authorize AlgoSurf to:

  • View your account information (equity, positions, buying power)
  • Place, modify, and cancel orders on your behalf
  • Access market data through your account

You may disconnect your account at any time through the AlgoSurf dashboard, which immediately revokes trading access.

4. Not Investment Advice

AlgoSurf does not provide investment advice, financial advice, tax advice, or any form of professional advisory services. The trading strategies offered are automated algorithms that execute based on statistical models. Past performance does not guarantee future results. You are solely responsible for all trading decisions made through your connected account.

5. Risk Disclosure

Algorithmic trading involves substantial risk of loss. You should only trade with capital you can afford to lose. Specific risks include but are not limited to:

  • Market risk: asset prices may move against your positions
  • Technology risk: software errors, network outages, or API failures may prevent proper execution
  • Leverage risk: margin trading amplifies both gains and losses
  • Liquidity risk: orders may not fill at expected prices
  • Strategy risk: past backtested performance may not reflect future live performance

6. User Responsibilities

You are responsible for:

  • Maintaining sufficient funds and margin in your brokerage account
  • Monitoring your account activity and positions
  • Understanding the trading strategies deployed to your account
  • Complying with all applicable securities laws and regulations
  • Meeting pattern day trading (PDT) requirements if applicable
  • Reporting all trading gains and losses for tax purposes

7. Service Availability

We strive to maintain continuous operation during market hours but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for losses resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, AlgoSurf and its operators shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, lost profits, or data loss, arising from your use of the Service. The Service is provided "as is" without warranties of any kind.

9. Intellectual Property

All trading algorithms, software code, strategy logic, and analytical methodologies are the proprietary intellectual property of AlgoSurf. You may not reverse-engineer, copy, or redistribute any part of the Service.

10. Account Termination

Either party may terminate the Service relationship at any time. You may disconnect your brokerage account and stop using the Service immediately. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity. Upon termination, any open positions are your responsibility to manage.

11. Third-Party Services

AlgoSurf integrates with Alpaca Markets for brokerage services. Your use of Alpaca is governed by Alpaca's own terms of service and customer agreement. AlgoSurf is not responsible for Alpaca's service availability, order execution quality, or account-related issues.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. Material changes will be communicated via the dashboard or email.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
